I have a set up now with an Intel Core 2 Duo 6600 (Conroe) at 2.4 ghz with 2 GB RAM. I want to upgrade (instead of OCing) to a Core 2 Duo 8400 (Wolfdale) which runs at 3.0 (and a faster FSB I believe). Since both are a LGA 775 socket, will the new CPU fit my Asus P%N-SLI Motherboard? I believe they will, as they are both a 775 and the motherboard says it accepts 775 socket CPUs. PS I am running Windows XP Home, and I may get a new Nvidia Graphics card as well, going from a 7800 GT (256 RAM)to a 9800 GT (512 RAM).
The P5N-E SLI is old, and probably won't support 45nm chips. Even if it does, the P5N-E is a hideous board. I owned one and regretted my purchase.

Plus, I do not want to do another full install if I were to buy a new MB and CPU. Hence just get a new CPU and maybe a new graphics card. I already have a nice Thermaltake 650 watt PS. Maybe faster memory as well?
Faster memory can't hurt. You would be wise to update the BIOS on the P5N-E before installing a new chip, as I know for certain it doesn't support them with outdated software.
I am also considering going with the 8600 @ 3.33 ghz.... Before I plunk down the cash for this, maybe someone can give me specific instructions on OCing my 6600. Changing the FSB, voltage settings, any changes to memory, etc...... Any SPECIFIC help would be great! Thanks in advance....

Is there such a thing as a "basic" guide? ha ha ha I will look into it. My concern I guess is voltage and memory settings. I do not want to overpower anything and fry it.
dont worry about it. for a 65nm cpu you should keep it under 1.4volts. play around with it and if you want more help post a cpu z screenshot of the cpu and memory tabs in the overclocking thread.

I searched and found instructions, but it said to open "paint" by going to strat, programs, accessories, paint...I dont have paint in accessories (windows XP home).

Okay, first try; I had memory settings to auto, and I think "linked". I have DDR2-800 memory. I changed the FSB from 1066 to 1100 (small increments, right?). The memory went from 666 to 687.5 mhz, the bus speed went from 266.7 to 275, and CPU core speed went from 1600.1 mhz to 1650.1 mhz. And the CPU is still showing 2.4. I am going to stop for now; Should I have the memory as linked, unlinked, manual (what speed) and what increment should I change the FSB to? I think it gave parameters of 1000-5000 (or similiar). Do I need to change the CPU multiplier?
You've almost done it right, but taken the wrong link. Use the one at the bottom, yes, the one it says NOT to use. The direct link to image link is the correct one.
I set the memory to unlinked and changed the FSB to 1300; According to CPU-Z, the CPU is still recognozed as a 2.4 but the core speed is 2.925 (confirmed when I right click on my computer and check properties, it says its a 2.4 CPU running at 2.93 GHZ. The mult is x9, bus speed 325.1. According to CPU-Z, the memory is running at Dram freq 325 and fsb dram is 1:1. Core voltage is 1.504, up fro original 1.408. How does this look?
