This can be done easily with winamp.

    http://www.winamp.com/

    After installing,

    1.open your file in winamp

2.right click in the application in an empty area - eg next to word help at the top

    3.select 'options' / 'preferences'

    4.go to the 'Plug-ins' \ 'Output' section

    5.Select the disc writer plugin

    6.Choose 'configure'

7.Specify your output directory (default is c:\)

8.tick 'convert to format' and then click the button next to the format dialog

9.Change 'format' dropdown to show 'MPEG layer-3' here you can also set the bitrate - higher bitrate = higher quality

10.close these windows until you are back at the main application interface

11.'play' your file, and it will be written to disk in the format your chose.

*Make sure you do not have repeat play set*
*Dont forget to turn diskwriter back off when finished*
    Good luck

EAC has an option to do this. You can convert it to a VBR mp3.

as far as rippers go, EAC (exact audio copy) is hands down the best. bit-accurate ripping with LAME encoder, it provides the best sounding mp3s you can make.
