this is very wiered

    this file cannot be endode and both virtualdub and autogk and winavi give errors....and only plays in vlc player and not in windows media player and divx player...i tried to reencode it but failed

    It seems an AVI with two audio streams, an AC3 one (#0) and a MP3 one (#1).

    You might to load it with VirtualDubMod and to insert the Stream__Stream List command.
    It it shows, effectively, 2 streams: disable the AC3 one, leave the MP3 alone, set Video___Direct Stream Copy and save (F7) the new AVI with only a MP3 audio. Then your encoders [players] should manage to load [play] it.

    Otherwise, if this doesn't work, what about trying a good run of DivFix?
