Can someone tell me a simple way to use tmpgenc to take an AVI, encode it as a mpg2 and encode it's audio as a wav?

Why do you want to encode it's audio as a wav? Before startign the converting you can select seperate elemantry streams so it creates a seperate audio and video file.
