Friend, you must learn about your motherboard; start here
    http://usa.asus.com/mb/socket370/tuv4x/overview.htm
Quote: "TUV4X is designed for users who are looking for quality and performance for Intel Pentium III processors."
It seems you will have a real challenge finding a Pentium4 to fit!
This mobo "supports Tualatin and Coppermine, as well as Celeron processors" - what CPU is in it now?
Just use it. By all means, get a new graphics card and some RAM.
But if you wish a new CPU, you are basically buying a new rig - you will need a new mobo, new RAM, probably new vidboard and possibly new PS too.
Just use it (I went through university with a 386-DX/40 ;^)
If you buy new stuff, fine - but try to keep the old rig together, keep it out of landfill, maybe someone else can use it.
    Regards

    What socket is AMD?
If I get a new motherboard, do I have to change my HDD and RAM?

no need to change hard drive although sometimes new motherboards will require a windows reinstall

ram depends on motherboard. there is either SD ram (older) or various speeds of DDR (newer). most speeds of DDR work with every ddr supporting motherboard and the difference in speed is just the price. but a SD ram board will not work with DDR atall! check before you buy oitherwise its an expensive mistake.

ram will speed up your pc but unless the upgrade is in conjunction with other upgraded components then the speed increase will be pretty small.

also AMD comes in a few different slots. such as socket A for sempron and athlon xp, socket 754 for slower speed athlon 64 and socket 939 for the faster ath 64's.

again - as with everything to do with pc's, faster = more expensive.

it does sound lke you are pretty inexperienced in upgrading so if i were you i would get some help from your local pc shop on what to buy as often you will buy 1 part and find it dosent fit your pc if your not careful.

if you can post your full pc specs and an ammount roughly of how much you would like to spend on an upgrade then i could suggest some compatible options for you.

if you are unsure of what exactly is inside your pc then there is a good program here... http://www.download.com/SANDRA-Lite/3000-2086_4-10018691.html that will show you pretty much what every component in your pc is.
